1. WHAT IS SWISSARTEXPO

SWISSARTEXPO is an art exhibition that offers talented and emerging artists from all over the world a platform to present their original artworks to the public. Thanks to our concept, not only artists who already collaborate with a gallery are given the chance, but also those who are still striving for this stage in their career. The exhibition is curated so that great diversity and a high standard are achieved.

2. ORGANISATION

SWISSARTEXPO is an art fair of ARTBOX.GROUPS GmbH, which has its registered seat at Schmidgasse 4, 6300 Zug, Switzerland.

3. WHO CAN PARTICIPATE IN SWISSARTEXPO

All artists, regardless of their nationality, may apply; there is no age limit. The registered artworks must be the artists' own works. This means that the artists must have created the artwork themselves, and it must not be a copy of another artwork by another person. All art forms and art techniques are admitted. No pornographic, racist or ethically unacceptable works are accepted. The decision as to whether an artwork is accepted lies solely with the Creative Committee.

4. HOW DOES BOOKING AN EXHIBITION PLACE WORK

Artists must complete the registration form on the SWISSARTEXPO website and pay a registration fee of CHF 150, which is non-refundable and covers the costs of the Creative Committee's work. Once the registration has been received, it is forwarded to the Creative Committee, which examines it thoroughly. It takes approx. 14 days until an admission decision is available. The artists are notified by e-mail. Registrations are reviewed in the order in which they are received. The principle of “first come, first serve” applies.

5. CREATIVE COMMITTEE

The Creative Committee decides on admission. It consists of independent curators, gallery owners and the exhibition management. The chair of the Creative Committee is Patricia Zenklusen, CVO of ARTBOX GROUPS GmbH. The Creative Committee selects the participants of SWISSARTEXPO according to qualitative and exhibition-conceptual criteria. The admission decisions of the Creative Committee are communicated approx. 14 days after receipt of the registration by e-mail and do not need to be justified to the applicants.

6. ADMISSION REQUIREMENTS

The Creative Committee of SWISSARTEXPO decides solely and finally on the admission of persons, companies, organisations and exhibition goods. Rejections are generally made without justification. The SWISSARTEXPO management does not recognise any claims raised by exhibitors or third parties in connection with the admission or rejection of persons, companies, organisations or exhibition goods. Decisive for the admission of exhibition goods is the hanging plan, which each artist must submit after registration and after admission by the Creative Committee. Once the definitive hanging plan has been approved, no further changes can be made. In principle, only the artworks listed in the submitted hanging plan may be exhibited. The SWISSARTEXPO management may request the precise specification of the individual artworks intended for the exhibition. In this case, artworks that have not been registered or admitted may not be exhibited, and the SWISSARTEXPO management reserves the right to remove such artworks from the stand at the exhibitors' expense. The artists must comply with the prescribed hanging plan. Special placement requests and the exclusion of competitors cannot be recognised as a condition for participation. The SWISSARTEXPO management may refuse admission if the exhibitors have not met due financial obligations towards SWISSARTEXPO. It is also entitled to revoke an admission already granted if it turns out that this was based on false information or prerequisites, or that the admission requirements no longer exist.

7. EXHIBITION SECURITY

On the exhibition area, sufficient SWISSARTEXPO sales staff and helpers will be present throughout the opening hours. The exhibition is also guarded at night and outside opening hours.

8. CARE OF ARTWORKS / SALE ON COMMISSION

The artworks are looked after on site by a trained SWISSARTEXPO sales team. We will actively pursue the sale of the artworks. The artists do not need to be on site. The artists may release their artworks for sale or not. It is important that they specify precisely in the info dossier whether or not they wish to sell their artworks. If they exhibit several artworks, they may also offer some artworks for sale and not the others. If, after the definitive submission of the info dossier, they wish to make a change, this must be submitted in writing. Upon the sale of an artwork, the artists receive 100% of the sale price less any credit card or bank fees charged to SWISSARTEXPO by the respective payment institutions. In the event of a sale, the artists are informed immediately. As soon as the money arrives in our bank account, it is forwarded to the artists without further deductions. The artists are responsible for the transport of the artworks to the buyer.

9. ALLOCATION OF EXHIBITION WALLS AND LOCATION

Once all admission requirements are met, the SWISSARTEXPO management carries out the allocation of the exhibition area and the location. The allocation is primarily determined by the affinity of the registered exhibition goods and consideration of the overall picture of the exhibition.

10. DESIGN, HANGING AND LABELLING AT THE EXHIBITION

The hanging of the artworks is carried out by the artists themselves; the SWISSARTEXPO crew handles the attachment of the labelling as well as the entire design of the exhibition. It is not possible to rehang or replace artworks during the exhibition. The artists may not attach additional labelling or display advertising material themselves. Special flyer holders can be ordered for flyers and business cards.

11. INSURANCE OF ARTWORKS

The exhibition is permanently supervised by SWISSARTEXPO staff during opening hours. At night, the exhibition is cordoned off with police barriers and guarded by a security service. The insurance of the artworks is the responsibility of the artists. If artists wish to insure their artworks, they must apply for this with their own insurance.

12. TRANSPORT OF ARTWORKS

The artists handle the transport of the artworks themselves.

13. INFRINGEMENT OF THIRD-PARTY PROTECTIVE RIGHTS

The statutory provisions on the protection of intellectual property rights, in particular patent, trademark, design, copyright and unfair-competition rights, must be respected. Anyone who infringes third-party protective rights at an exhibition may be held liable under both civil and criminal law. If someone fears that their protective rights are being infringed at an exhibition, they may request the competent court to order a precautionary measure prohibiting the presentation of certain products or services at the exhibition. If they already hold a legally binding judgment of a Swiss court prohibiting the presentation of certain products or services at the exhibition, the SWISSARTEXPO management will remove the artwork concerned without delay. 14. HOW ARE THE EXHIBITION COSTS COMPOSED

The exhibition costs are composed as follows: exhibition walls including the following services: sales staff on site, security, labelling of the artworks, marketing activities for the entire exhibition.

15. WHAT ARE THE PAYMENT TERMS

For sponsored participations, no exhibition fee is charged. No total invoice is issued; the payment terms set out in this section do not apply to the sponsorship.

16. CANCELLATION

In the event of a cancellation within 5 days of acceptance by the Creative Committee, an administrative fee of CHF 350 becomes due. In the event of a cancellation from the 6th day after acceptance by the Creative Committee and up to 90 days before the start of the exhibition, 50% of the total costs plus services already rendered are payable. From the 89th day before the start of the exhibition, the registration can no longer be cancelled; 100% of the total costs are payable. Every registered artist has the option of presenting a substitute artist if they cannot participate in the exhibition after all. The substitute artist is reviewed by the Creative Committee. If they are accepted, the booking can be transferred to the substitute artist. This additional review costs CHF 350; the transfer of the exhibition area is only carried out after payment of this fee. Until the definitive transfer, the booking artist is liable for all cancellation costs incurred.

17. RECORDING RIGHT OF SWISSARTEXPO

SWISSARTEXPO is entitled to have image and sound recordings of any kind made of persons, exhibition walls and artworks and to use them for its own or for general advertising, documentation and press purposes. The exhibitors waive all objections under copyright and personality rights.

18. CANCELLATION, TERMINATION, POSTPONEMENT OR ADJUSTMENT OF THE EXHIBITION

The SWISSARTEXPO management is entitled to cancel an exhibition for good cause before it is held, to terminate it early, to postpone it or to adjust operations to the circumstances. If a fair must be cancelled, terminated early, postponed or adjusted to the circumstances for good cause, SWISSARTEXPO is released from its performance obligations, and the exhibitors have no claim against SWISSARTEXPO for performance, for withdrawal from the contract or for damages. Payments already made are refunded, less the expenses already incurred by SWISSARTEXPO in connection with the cancelled exhibition. Good cause exists if force majeure, an official order or other circumstances not attributable to SWISSARTEXPO make the proper holding of a fair impossible or more difficult, or if holding a fair appears unreasonable to the fair management for economic or political reasons.

19. LIABILITY

Liability for any indirect damage and consequential damage is fully excluded. Liability for direct damage is limited to the sum of the service, product or licence acquired by the customer. This limitation of liability does not apply to direct damage caused by gross negligence or intent. Customers are obliged to report any damage to the company immediately. Any liability for auxiliary persons is fully excluded.

20. INTELLECTUAL PROPERTY RIGHTS

All rights to the products, services and any trademarks belong to the company or it is authorised to use them by the owner. Neither these GTC nor associated individual agreements involve the transfer of intellectual property rights, unless this is explicitly stated. In addition, any further use, publication and making available of information, images, texts or anything else that customers receive in connection with these provisions is prohibited, unless explicitly approved by the company. If customers use content, texts or visual material in connection with the company in which third parties hold a protective right, the customers must ensure that no third-party protective rights are infringed.

21. DATA PROTECTION

21.1 The seller processes customers' personal data for the intended purpose and in accordance with the statutory provisions.

21.2 The personal data provided for the purpose of registration (such as name, e-mail address, address, payment data) is used by the seller to fulfil and process the contract. This data is treated confidentially and not passed on to third parties who are not involved in the ordering, exhibition and payment process.

21.3 Customers have the right, upon request, to receive information free of charge about the personal data stored about them by the seller. In addition, they have the right to rectification of incorrect data, blocking and erasure of their personal data, insofar as no statutory retention obligation precludes this.

21.4 Further information on the nature, scope, place and purpose of the collection, processing and use of the required personal data by the seller can be found in the privacy policy.

22. INFORMATION ABOUT CHANGES

22.1 These General Terms and Conditions may be changed by the company at any time.

22.2 The new version enters into force upon publication on the company's website.

22.3 In principle, the version of the GTC in force at the time of conclusion of the contract applies to the customers, unless the customers have agreed to a newer version of the GTC.

23. PRIORITY

These GTC take precedence over all older provisions and contracts. Only provisions from individual contracts that further specify the provisions of these GTC take precedence over these GTC.

24. SEVERABILITY CLAUSE

Should a provision of this contract or an annex to this contract be or become invalid, the effectiveness of the remainder of the contract shall not be affected. The contracting parties will replace the invalid provision with a valid provision that comes as close as possible to the intended economic purpose of the invalid provision. The same applies to any gaps in the contract.

25. CONFIDENTIALITY

Both parties as well as their auxiliary persons undertake to treat confidentially all information submitted or acquired in connection with the services. This obligation continues even after the end of the contract.

26. FORCE MAJEURE

If timely performance by the company, its suppliers or engaged third parties is rendered impossible due to force majeure such as, for example, natural disasters, earthquakes, volcanic eruptions, avalanches, storms, thunderstorms, gales, wars, riots, civil wars, revolutions and uprisings, terrorism, sabotage, strikes, nuclear accidents or reactor damage, the company is released from the performance of the affected obligations for the duration of the force majeure as well as a reasonable start-up period after its end. If the force majeure lasts longer than 30 days, the company may withdraw from the contract. Any further claims, in particular claims for damages due to vis major, are excluded.

27. APPLICABLE LAW / PLACE OF JURISDICTION

These GTC are governed by Swiss law. Unless mandatory statutory provisions take precedence, the court at the registered seat of the company has jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods (SR 0.221.221.1) is explicitly excluded.

28. LEGAL

28.1 The artists accept these GTC with their registration.

28.2 The artists declare with their registration that they are the creators of the registered artworks.

28.3 The copyright in the artworks remains with the artists at all times. SWISSARTEXPO has the right to publish the artworks on its own website and on all social media platforms and to use them for print media relating to SWISSARTEXPO.

28.4 In the event of a discrepancy between this translated version of the General Terms and Conditions and the German original text, the German version prevails. The terms and conditions apply to all current and future business relationships.

28.5 Deviating, conflicting or supplementary general terms and conditions do not become part of the contract, even if known, unless their applicability is expressly agreed in writing.
